Jonathan Leavitt

Founder | Principal Attorney

Jonathan Leavitt is the founder and principal attorney of Capital Counsel, where he advises businesses, professional practices, and individuals in corporate, real estate, and civil liability matters. His practice focuses on complex transactions, business structuring, commercial agreements, and strategic legal counsel for growing organizations.

Before founding Capital Counsel, Jonathan practiced at boutique law firms in Los Angeles and San Diego handling sophisticated corporate, real estate, and commercial matters. His work included drafting and negotiating a wide range of transactional agreements, including merger and acquisition agreements, asset and stock purchase agreements, shareholder, operating and partnership agreements, commercial leases, financing documents, and a host of other complex commercial arrangements.

In addition to his transactional work, Jonathan has significant litigation experience involving real estate disputes, partnership and ownership conflicts, commercial contract claims, financing disputes, and related business litigation. Having represented clients in mediation and litigation, he approaches transactional drafting with a practical understanding of how business agreements are scrutinized and contested when disputes arise.

Jonathan is also a co-founder and executive of a multi-location and multistate network of healthcare services companies, where he oversees corporate organization, regulatory compliance, contracting, employment matters, and strategic business operations. This operating experience uniquely drives his approach to legal counsel, allowing him to advise clients with an understanding of the legal, operational, and strategic considerations that shape real-world business decisions.

Jonathan earned his Juris Doctor from Loyola Law School in Los Angeles. He holds a Bachelor of Science in Business Administration from the University of Southern California’s Marshall School of Business and also studied business and management at Università Bocconi in Milan. He is admitted to practice law in California.

Daniel Kadin

Counsel

Daniel Kadin is Counsel at Capital Counsel. Daniel has provided pragmatic, business-minded counsel to companies at every stage of the life cycle, from start-up to Fortune 500, with particular depth advising innovative technology companies. His work spans commercial transactions, intellectual property strategy and transactions, litigation, capital raises, M&A, corporate governance, and general strategic legal counsel for growing organizations. He is also a registered patent attorney.

He has advised organizations as both in-house counsel at growth stage companies and outside counsel at top-tier global firms, giving him a practical, operator’s perspective that drives how he counsels clients. He has built in-house legal functions from the ground up, negotiated and closed complex transactions, developed and managed IP strategy, and advised executive leadership on business decisions through a legal and strategic lens. As outside counsel, he has worked closely with key business teams, understanding the companies’ goals in order to balance risk with commercial velocity.

Daniel also brings a litigation background, having represented both plaintiffs and defendants in complex intellectual property and commercial disputes in federal courts nationwide. This experience in high-stakes disputes gives him a practical view of the legal, commercial, and operational dynamics businesses face.

Daniel holds a J.D., summa cum laude, from Southwestern Law School and an M.S. in Biotechnology from Johns Hopkins University. He graduated from the University of Southern California with a degree in Neuroscience and a Business minor. He is admitted to practice in California and before the USPTO, as well as the Central, Northern, and Southern Districts of California and the Ninth Circuit and Federal Circuit Courts of Appeals.
